Terms of Service

1. Agreement and eligibility

You must be at least 18 years old, legally able to enter into this agreement, located in the United States, and eligible to use the Services in your state. You must provide accurate, current information and have a compatible device and internet connection. Certain services may not be available in every location or for every person.

You consent to transact electronically and agree that electronic signatures, notices, disclosures, and records have the same effect as paper versions, subject to applicable law.

2. Sinta's role

Sinta is a technology and nonclinical administrative platform. We help wellness businesses connect clients with independent licensed providers and coordinate intake, status, laboratory, pharmacy, fulfillment, and support workflows. Sinta is not a medical practice and does not provide medical advice, diagnosis, treatment, or prescriptions.

The wellness business that introduces you to Sinta separately provides any Clinic Wellness Membership services described in its disclosure. Those services are nonclinical unless a separately licensed professional clearly establishes a provider-patient relationship with you outside the Sinta partner role.

3. Clinical services

Medication-related clinical services are furnished by Beluga Health, P.A. and its independent licensed professionals. They exercise independent clinical judgment and are solely responsible for evaluation, prescribing, medication monitoring, and related clinical support. Sinta and the referring wellness business do not control those decisions or guarantee eligibility, a prescription, or any particular medication.

Wellness laboratory orders and clinical review within the Junction workflow are performed by Junction's licensed clinicians. Laboratory testing required for a medication program is ordered and reviewed through Beluga Health, P.A. Prescriptions and laboratory orders are issued only when the responsible clinician determines they are appropriate. Product and service availability varies by state; TRT/HRT programs are not offered in Alabama, Connecticut, or Georgia. Pharmacies, laboratories, and other third parties are responsible for their own services, shipping, testing, and fulfillment.

Your use of telehealth is also governed by the Telehealth Informed Consent. You should maintain an ongoing relationship with a primary care provider and seek in-person care when advised.

4. Accounts and acceptable use

You are responsible for keeping credentials confidential, restricting access to your device, and notifying us promptly of suspected unauthorized use. You are responsible for activities taken through your account.

You may not misuse the Services, impersonate another person, submit false information, attempt unauthorized access, interfere with platform operations, introduce malicious code, scrape or copy content through automated means, reverse engineer the Services, violate law, or use the Services to harm another person. You may use the Services only for their intended personal or authorized business purpose.

5. Cash-pay services

Programs are cash-pay. For a medication program, Beluga first determines whether you are approved. Only after approval, your participating wellness business gives you a financial disclosure and charges your payment method through its own point-of-sale system. Sinta does not charge the patient under this payment model.

Your disclosure identifies: (1) the Clinic Wellness Membership, which the wellness business independently establishes; (2) Sinta's $17 monthly administrative-services fee; (3) a combined Beluga clinical-and-fulfillment charge; and (4) the total monthly price. Your point-of-sale receipt may display the single total, while the separate disclosure records the components and recurring terms.

The Clinic Wellness Membership provides access to the nonclinical services described in the disclosure; you are not required to use every available service. A clinic may establish different prices for different programs when the nonclinical service packages or workloads meaningfully differ. For similarly situated patients within the same program and location, however, the clinic price must remain consistent and cannot vary merely because of a medication, dose, pharmacy, refill decision, or clinical outcome.

Unless the program disclosure states otherwise, membership renews monthly, no initial enrollment fee is charged, and you must give the clinic at least 10 days' notice to cancel before the next renewal. Medication that has already shipped is not returnable or refundable except where law requires otherwise.

6. Electronic communications

You agree to receive electronic communications related to your account and requested services. If you opt in to SMS, message frequency varies and message and data rates may apply. Reply STOP to opt out of nonessential text messages and HELP for help. Marketing consent is not a condition of purchase.

Electronic communication has privacy and delivery risks. Keep your contact information current and use reasonable care when accessing messages on shared devices.

7. Ownership and third-party services

Sinta and its licensors own the Services, including software, design, text, graphics, trademarks, and other content, except for content supplied by users or third parties. Subject to these Terms, Sinta grants you a limited, revocable, nonexclusive, nontransferable license to use the Services for their intended purpose.

The Services may contain links to or integrations with Beluga Health, P.A., Junction, independent professionals, pharmacies, laboratories, payment processors, and other third parties. Their services and content are governed by their own terms and policies. Sinta is not responsible for third-party acts or omissions except to the extent required by law.

8. Disclaimers and limitation of liability

To the fullest extent permitted by law, the Services are provided "as is" and "as available." Sinta disclaims implied warranties of merchantability, fitness for a particular purpose, noninfringement, and uninterrupted or error-free operation. We do not guarantee clinical, health, business, revenue, or financial outcomes.

To the fullest extent permitted by law, Sinta and its officers, employees, affiliates, and vendors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, data, goodwill, or business opportunities arising from the Services. Any liability that cannot legally be excluded will be limited to the extent permitted by applicable law.

Some jurisdictions do not allow certain exclusions or limitations, so portions of this section may not apply to you. Nothing in these Terms limits rights that cannot lawfully be waived.

9. Termination and general legal terms

We may suspend or terminate access if you violate these Terms, create risk for users or the Services, fail to pay amounts due, or where suspension is reasonably necessary for legal, privacy, or security reasons. You may stop using the Services at any time, subject to any outstanding payment or program obligations.

These Terms are governed by Florida law, without regard to conflict-of-law principles. Any proceeding not subject to a separate enforceable dispute-resolution agreement must be brought in the state or federal courts located in Palm Beach County, Florida, and each party consents to that venue and jurisdiction.

If any provision is unenforceable, the remaining provisions remain effective. A failure to enforce a provision is not a waiver. These Terms, together with incorporated policies and any applicable program or partner agreement, form the entire agreement concerning the Services. We may update these Terms prospectively by posting a revised version and providing any notice required by law.
